Subscription Agreement & Series Joinder
The Subscription Agreement and Series Joinder (FSG-02, Version 10, October 28, 2026) is the admission contract under which the named Trust, acting through its trustee solely in that capacity, subscribes for the 99% interest in an identified Device Series and joins FSG-03. The same Trust is the direct borrower under FSG-05, while the Series remains the equipment purchaser and acquisition borrower. Admission requires acknowledgment of FSG-01, completed FSG-38, and the applicable appendices. Selected commercial variables from the October 28, 2026 Master Transaction Terms are incorporated only for the adopting party’s stated role. The Trust pays $30,000 of acquisition cash within five calendar days after countersigned acceptance, plus a separate $5,000 Taxpayer Protection Foundation fee, so standard investor cash is $35,000. Closing also requires $225,000 of documented Systems seller-financing credit, Holdings’ $1,000 reserve contribution and $2,250 restoration undertaking, and the other stated conditions. The Investor’s aggregate additional principal or capital commitment is $225,000. No personal guarantee is created. The investor ceiling is 100 per Fund Control Unit, and the offering cannot exceed $25,000,000.
The agreement restates the loan and distribution terms: no installment or lender collection during the first 180 days after Installation, no contractual interest through day 150, then 5.5% simple interest, a regular installment of $1,838.44, and maturity 84 months after Funding. No member operating or discretionary tax distribution is paid during the first 180 days, and the 18% positive Machine Revenue cap and 99%/1% sharing are governed by FSG-03. It sets purchaser representations, Rule 506© verification, restricted-securities limits, refund and segregation rules, a thirty-day outside closing period, and a 107-hour annual participation covenant that is expressly not a tax safe harbor. Later transfers require FSG-02T and required consents. FSG-50 and FSG-51 are general tax information only. No favorable tax result, penalty protection, or individualized representation is assured.
