Fair Skill Games CPA Tax Guide
The Fair Skills CPA Tax Guide (FSG-51, Version 10, October 28, 2026) is nonbinding general education on a standard equipment transaction. It describes a $255,000 Nudge Solaris package funded with $30,000 of Trust cash capital, $1,000 from Holdings, and a $225,000 seller loan that is a Trust-estate obligation with no personal guarantee. The loan has no collections for the first 180 days after installation, no contractual interest through day 150, then 5.5% simple interest, with maturity 84 months after funding. Operating distributions are capped and deferred for the first 180 days. An illustration assumes $255,000 of qualifying cost, split $252,450 / $2,550, and a hypothetical pre-interest operating result that can produce a large first-year loss only if actual dates, basis, and tax limits support it.
The rest of the guide is a federal reporting checklist, not a return position. It covers partnership classification, § 704 allocations, recourse debt and outside basis, bonus depreciation and placed-in-service rules, at-risk and material-participation tests, business-interest and excess-loss limits, trust attribution, economic substance, disclosure and penalties, exit and recapture, partnership audits, and Form 8594. It states that face debt, book capital, and the depreciation split do not by themselves create basis, a deduction, a distribution, or a refund, and that the Series preparer, the taxpayer, and an independent CPA each have separate roles. No deduction, savings, investment return, or penalty protection is assured, and individual advice requires a separate written engagement.
