Trust Borrower Certificate & No Personal Guarantee Joinder
The Trust Borrower Certificate and No-Personal-Guarantee Joinder (FSG-52, Version 10, October 28, 2026) records the identity, authority, and adoption of one $225,000 loan governed by FSG-05, FSG-48, and FSG-49. It does not certify completed Funding or release an earlier debt. The named Trust, acting through its trustee solely in a fiduciary capacity, is the 99% Investor Member and primary direct borrower. The Series remains the acquisition borrower and collateral grantor. Both obligations concern the same loan, so no second advance or duplicate principal is created. Recovery is limited to the Trust estate and the identified Series estate. No settlor, beneficiary, individual investor, trustee, protector, adviser, or representative is a personal guarantor or individual co-obligor, and no individual assets are pledged. No personal capital call, deficit restoration, reimbursement, indemnity, or replenishment duty secures repayment, and a contractual bad-act carveout does not convert the debt into personal recourse.
The certificate restates the standard capital and payment terms. Trust acquisition capital is $30,000, Holdings capital is $1,000, and the separate $5,000 Taxpayer Protection Foundation fee is outside Series capital and the $255,000 price. The Trust’s $225,000 additional principal or restoration commitment is estate-only and coordinated so actual payments receive credit once. Holdings’ separate $2,250 restoration cap is payable from its own entity assets. No installment or lender collection is due during the first 180 days after Installation, contractual interest is zero through day 150, and 5.5% simple interest begins on day 151. The regular installment is $1,838.44, and maturity is 84 months after Funding. Investor cash is capped at 18% of positive Machine Revenue, with no member distributions during the first 180 days and no fixed yield. FSG-05 controls the note and security, and FSG-48 controls capital coordination. The certificate does not establish a tax deduction, participation test, or refund.
